The material contained in this document, including any supplementary information (collectively, the “Manual”), and the associated software is the confidential and proprietary information of Ursa Health LLC and is provided under a separate agreement with Ursa Health or one of its subsidiaries. The use of this Manual is restricted to customers of Ursa Health and their employees and agents and shall be only in accordance with the terms of such customer agreement and the terms set forth herein. The customer acknowledges and agrees that it shall be fully responsible and liable for the conduct of its employees and agents in connection with the use of this Manual and the associated access to Ursa Studio.

Proprietary Rights

The customer further acknowledges and agrees that the material contained herein (including any modification, translation, or adaptation thereof) and all copyright, trade secrets, and other proprietary information and intellectual property belonging to Ursa Health are, and shall remain, the sole property of Ursa Health. Except as set forth in the customer agreement, no right, license, permission, or interest of any kind in this Manual or any intellectual property of Ursa Health is intended to be given, transferred, or acquired by the customer. The customer shall not, and shall cause its employees and agents not to, disclose any confidential information belonging to Ursa Health, including the material contained in this Manual(or any modification, translation, or adaptation thereof), to any third party (other than the customer’s employees and agents on a need-to-know basis who are bound by written obligations of nondisclosure and limited use at least as stringent as those contained herein) without first obtaining Ursa Health’s written consent.

In addition, the customer shall not permit access to this Manual by any person for any purpose other than as an aid in the use of the associated software. Except as expressly permitted in the customer agreement, the customer may not use, copy, reproduce, translate, broadcast, modify, sell, license, transmit, distribute, exhibit, perform, publish, or display any part of this Manual, in any form, without the express written permission of Ursa Health. The customer shall not remove any confidential markings or copyright notices from this Manual.

Disclaimer

Although Ursa Health has taken due care to verify the accuracy and completeness of the material included in this Manual, Ursa Health does not warrant that the information contained herein is complete and accurate, free from typographical or other errors, or sufficient to meet customer’s specific requirements. As such, neither Ursa Health, its affiliates, or subsidiaries, nor their respective officers, directors, employees, or agents, assumes and each hereby disclaims all liability, consequential or otherwise, for any claims, liabilities, expenses, loss, or damage to the customer or any person or entity that is caused by or relates to errors or omissions in this Manual or any recommendation by Ursa Health, whether such errors, omissions, or recommendations result from negligence or any other cause.
